1. Purpose and Membership
Statement of Purpose:
This organization (“the Club”) is established to promote social interaction and community engagement among its members. The Club operates exclusively as a nonprofit social organization under Section 501(c)(7) of the Internal Revenue Code. Its objectives include organizing events, fostering relationships, and supporting the shared interests of its members.
Membership Criteria:
- Eligibility: Membership is open to individuals residing in Texas who share the Club’s objectives and meet the age requirement of 18 years or older.
- Application Process: Prospective members must submit a completed application form and pay the initial membership fee. The Board of Directors reserves the right to approve or deny applications.
- Membership Dues: Members must pay annual dues as set forth by the Club’s bylaws. Failure to pay dues on time may result in suspension or termination of membership.
- Membership Limitations: The Club may cap the number of members to maintain quality engagement and operations.
- Voting Rights: Only formal members in good standing have voting rights in the Club’s governance.
2. Financial Obligations and Rights
Dues and Fees:
Membership dues are assessed annually and are used to cover the Club’s operational costs, including events, administrative expenses, and community initiatives. The Club ensures financial transparency by providing annual reports to members.
Nonprofit Status:
The Club operates strictly as a nonprofit entity. No portion of its income or assets benefits individual members, directors, or officers. All funds are allocated toward fulfilling the Club’s objectives.
3. Legal Compliance and Protection
Compliance:
The Club complies with all applicable federal and state laws, including nonprofit operational standards, annual tax filings, and restrictions on political activities as per IRS guidelines. The Board is responsible for ensuring these obligations are met to maintain tax-exempt status.
Liability:
Members, directors, and officers are not personally liable for the Club’s debts or obligations, except in cases of gross negligence or intentional misconduct.
Indemnification:
The Club indemnifies its officers and directors for actions taken in good faith on behalf of the organization. This indemnification does not apply to acts of gross negligence or intentional wrongdoing.
4. Termination and Disciplinary Actions
Membership Termination:
Membership may be terminated for the following reasons:
- Non-payment of dues.
- Violation of Club rules or policies.
- Conduct detrimental to the Club’s objectives or reputation.
Members subject to termination will be notified in writing and have the right to appeal to the Board of Directors within 30 days.
Discipline:
The Club follows a fair and transparent process to address member misconduct, including:
- Notification of the alleged misconduct.
- Opportunity for the member to respond.
- A decision by the Board based on the evidence presented.
5. Confidentiality and Data Protection
Privacy Policy:
The Club values the privacy of its members and complies with applicable data protection laws. Personal information collected during membership applications or events is used solely for Club purposes and is not shared with third parties without consent. Members can request access to their data and updates to their information.
6. Amendments to Terms & Conditions
Amendment Process:
These Terms and Conditions may be amended by a majority vote of the Board of Directors or the membership, as specified in the Club’s bylaws. Members will be notified of proposed changes at least 30 days prior to the vote.
7. Dissolution
Dissolution Clause:
In the event of dissolution, all assets remaining after settling debts and obligations will be distributed to another nonprofit organization with similar objectives. This ensures compliance with 501(c)(7) regulations.
8. Governing Law
Jurisdiction:
These Terms and Conditions are governed by the laws of the State of Texas. Any disputes arising under these terms will first be resolved through mediation or arbitration before pursuing legal action in Texas courts.
9. Political Activities
Restrictions:
The Club adheres to IRS guidelines prohibiting substantial political campaigning or lobbying activities. Any limited political activities undertaken will be consistent with maintaining the Club’s tax-exempt status.
